Company Secretary

The National Banking Corporation (NBC) seeks an experienced Company Secretary to support the Board and enhance corporate governance.

The National Banking Corporation (NBC) is a licensed commercial bank in Papua New Guinea with its Head Office in Port Moresby and a network of ten branches nationwide. Following the government’s shareholding dilution to 50% through private equity, NBC is preparing for an IPO on the PNG Stock Exchange in 2027.

As part of this transition, the Bank seeks an experienced Company Secretary to support the Board and enhance corporate governance.

About the Role

The Company Secretary will report to the Board through the Chairman, with the role supporting the Board in fulfilling its legal, ethical, and fiduciary responsibilities by maintaining accurate records, ensuring compliance with government and prudential standards, and facilitating efficient communication and documentation.

Key Responsibilities

  • Coordinate Board and Committee meetings, including agendas, papers, scheduling, and communications.
  • Prepare accurate and impartial minutes, ensure secure storage of records, and track actions.
  • Support compliance with statutory, prudential, and governance requirements.
  • Provide governance advisory support, including Director onboarding and maintenance of governance registers.
  • Support Board evaluations and continuous improvement of governance processes.
  • Assist with the Bank’s IPO preparation and establishment of systems required for PNGX compliance.

Qualifications & Experience

  • Bachelor’s Degree in Law or a related discipline (legal background preferred).
  • Proven experience in governance, company secretariat, or Board support roles.
  • Must have 8+ years in senior roles with 5+ years of management experience.
  • Strong understanding of governance principles, statutory requirements, and confidentiality.
  • Experience in a regulated industry, such as banking or financial services, is advantageous.
  • High integrity, sound judgment, and professionalism.
  • Strong organisational skills with exceptional attention to detail.
  • Excellent communication and interpersonal abilities.
  • Ability to maintain confidentiality and remain impartial.
  • Proactive, self-driven, and able to work effectively with senior stakeholders.
